3. Use of Our Services

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to use our Services:

To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation

To impersonate or attempt to impersonate CodingAce AI, a CodingAce AI employee, another user, or any other person or entity

To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm CodingAce AI or users of the Services

To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful

4. Intellectual Property Rights

The CodingAce AI website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by CodingAce AI, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our website, except as generally and ordinarily permitted through the website according to these Terms.

5. Client Projects and Deliverables

For client projects, ownership and intellectual property rights of deliverables will be governed by the specific agreement or statement of work executed between CodingAce AI and the client.

Unless otherwise agreed in writing:

CodingAce AI retains ownership of all pre-existing intellectual property, methodologies, tools, and frameworks used in the delivery of Services

Upon full payment, clients receive a license or ownership of the specific custom deliverables created for their project as specified in the project agreement

CodingAce AI reserves the right to use general knowledge, skills, and experience acquired during the performance of Services for other clients

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of engagement. This obligation shall survive termination of any agreement between the parties.

We implement industry-standard security measures to protect client data and confidential information. However, no security system is impenetrable, and we cannot guarantee the security of our systems 100%.

7. Payment Terms

Payment terms for Services will be specified in individual project agreements or statements of work. Unless otherwise agreed:

Invoices are due within 14 days of issuance

Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is less

We reserve the right to suspend Services for accounts with overdue payments

All fees are exclusive of taxes, duties, and other governmental charges

8. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall CodingAce AI, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use of, or inability to use, the Services, including any direct, indirect, special, incidental, consequential, or punitive damages.

Our total liability to you for all claims arising from or relating to these Terms or your use of the Services shall not exceed the amount you paid to us, if any, during the twelve (12) months immediately preceding the event giving rise to the liability.

9. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

10. Indemnification

You agree to defend, indemnify, and hold harmless CodingAce AI and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

11. Termination

We may terminate or suspend your access to all or part of the Services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal or state courts located in San Francisco County, California.

13. Changes to These Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them.
